Terms and Conditions of Sale

The present General Terms and Conditions of Sale apply to any pre-purchase/purchase or pre-leasing/leasing of program(s) on CITIZEN-V as well as to any subscription or any pre-purchase/purchase of live or deferred events.

CHAPTER I : GENERAL CONDITIONS : DEFINITIONS & VOD PURCHASE/RENTAL

In these General Terms and Conditions of Sale (hereinafter « GTC »), the terms referred to below shall have the following meaning:

  • « Pre-purchase » or « Purchase » refers to the possibility of viewing one or more Programs or Events previously paid for by the User, solely via the CITIZEN-V platform.
  • « Pre-Rental » or « Rental » refers to the possibility of viewing the Program(s) previously paid for by the User for a limited period of time. This functionality is accessible on PC/Mac/Tablet/Smartphone, on the Sites, on compatible Internet-connected TVs subject to the availability of the Program(s) in the offer.
  • « Programs » means the cinematographic and/or audiovisual works of the Service
  • « Service » refers to the video-on-demand (VOD) service operated under the CITIZEN-V brand and making available to the User Programs or Events offered for Rental or Purchase.
  • « Sites » means the interactive electronic services operated by TPROD with access URLs at www.citizen-v.com/fr that allow access to the Service. The Service offers :
    • Rental of a single program or a program package (an offer that includes a selection of videos) for a limited time;
    • Or the Purchase of a single Program or a package of Programs (an offer proposing an indivisible set of a selection of videos), from among a selection of Programs, for an unlimited period of time (in the case of a Purchase on a Mac or PC or Tablet or Smartphone made on the Sites
  • « Territory » means, for Rental and Purchase in countries where www.citizen-v.com is available.
  • « User » means any natural person who has fulfilled the conditions of access to the Service for the purpose of accessing the Programs or Events previously paid for for private use.

1. PURPOSE

The purpose of these Terms and Conditions is to define the conditions under which TPROD shall provide the User in the Territory with access to Programs or Events on the Service and the conditions under which the User shall use the Service.

2. PUBLISHER OF THE SERVICE

CITIZEN-V is published by the company TPROD, SAS with a capital of 66.750 €, registered in the Trade and Companies Register of Paris under the number 529 636 920 and whose registered office is located at 128 rue de La Boétie 75008 PARIS.

3. CONDITIONS OF PLACING AN ORDER

On PC / Mac / Tablet / Smartphone:

Prior to the validation of the order, the User must create an account by filling the form reserved for this purpose in order to inform the data necessary to the treatment of its order (pseudonym, password, validated e-mail address etc…).
After validation of the order, the User pays the price of the Program or the Event by credit card or by Paypal.

Once the order has been confirmed, it is deemed accepted and the User no longer has the option of cancelling the transaction corresponding to the order.

As soon as the transaction has been finalized, TPROD shall immediately send the User an electronic order confirmation.

You have the right to withdraw from this contract within fourteen (14) calendar days of purchase. The withdrawal period expires after fourteen (14) calendar days from the date of conclusion of the Purchase Agreement. To exercise the right of withdrawal, you must inform us of your decision to withdraw by a clear statement in writing to [email protected] This statement must include your name, address, order number, date of order. In order to ensure compliance with the withdrawal period, you must send your withdrawal statement before the withdrawal period expires.

Notwithstanding the foregoing, you hereby expressly acknowledge that you lose your right of withdrawal with respect to pre-purchases and pre-leases and the purchase of Digital Content once you begin using such Content.
You hereby expressly acknowledge that you lose your right of withdrawal with respect to the Services if performance has begun with your express consent.

4. PRICES AND PAYMENT TERMS

4.1 Prices

The prices mentioned on the Service are expressed in euros, all taxes included.
The order of the Program or the Event is invoiced to the User on the basis of the price list in force on the date of the order.
Prices may be changed by TPROD at any time without prior notice.

4.2 Terms of Payment

The price shall be due and payable immediately.

4.3 Proof of Transaction

The Customer is bound by the order as soon as he clicks on the payment button during the purchase process on the Web Site. The data recorded and issued by the payment service constitute proof of all transactions between the Site and its Customers.
Online payment by credit card is made through the company Stripe. The data recorded by the Stripe payment system constitutes proof of the financial transactions carried out by bank card.
The Customer may also pay for his purchases on the Site by Paypal. The data recorded by Paypal constitute proof of the financial transactions made by this method of payment.
The payment of the contents is made either by credit card (VISA, MASTERCARD etc..) or by Paypal.

4.4 In case of payment by credit card

The User acknowledges that the provision of credit card information constitutes authorization for TPROD to debit the User’s bank account.

An order confirmation will be sent to the User’s e-mail address immediately after the order has been placed.

Payment by credit card is handled by Stripe. The credit card number, expiration date and security code are entered on a highly secure page directly with Stripe. The Site does not store any card number.
Stripe’s payment processing is PCI/DSS certified by Visa and Mastercard. This certification specifies the application of the most stringent security rules to protect Customer credit card data.
The customer’s credit card will be debited in euros when the order is accepted by Stripe. Upon acceptance of the payment, the content is immediately available (rental or purchase) or will be made available upon the official release of the content (pre-rental/purchase).

4.5 In case of payment by Paypal

If the customer has a Paypal account, he/she can connect to it and make the payment for one or more contents directly.
The debit on the customer’s Paypal account will be made in euros when the order is accepted by Paypal. Upon acceptance of the payment, the content is immediately available (rental or purchase) or will be made available upon the official release of the content (pre-rental/purchase).

5. CITIZEN-V SERVICES

5.1. You must be at least 18 years old to subscribe to the Citizen-V service. Minors may use the service only under the supervision of an adult. 

5.2. The Citizen-V service, as well as any content you access through the service, is for personal, non-commercial use only and may not be shared with anyone outside your household. With respect to subscriptions, during the term of the subscription, we grant you a limited, one-time, non-transferable right to access the Citizen-V Service and the Citizen-V Content. Except for the foregoing, no right, title or interest is granted to you. You agree not to use the Service for public viewing.

5.3. You may only access the Citizen-V Content in the countries where we offer our service and where we hold the relevant licenses. The content available may vary according to the geographical area and may change at any time. 

5.4. The Citizen-V service is regularly updated. We also regularly test various aspects of our service, including our websites, user interfaces, promotional offers and the availability of Citizen-V content. 

5.5. Some Citizen-V content titles may be downloaded and temporarily stored for offline viewing on some supported devices. 

5.6. You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, sell or use (except as expressly permitted in the Terms of Use) any content or information from (or obtained through) the Citizen-V Service. You also agree not to: Bypass, remove, modify, disable, destroy or defeat content protections as part of the Citizen-V service; use robots, spiders, web harvesting tools or other automated methods to access the Citizen-V service; decompile, reverse engineer or disassemble any software, product or process accessible through the Citizen-V Service; insert any code or product, or manipulate the content of the Citizen-V Service in any way; or use any data mining, harvesting or extraction method. Similarly, you agree not to upload, post, email or otherwise send or transmit any content to disrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Citizen-V service, including any viruses or other computer code, files or programs. We reserve the right to terminate or restrict your use of our service if you violate these Terms of Use or make any illegal or improper use of the service. 

5.7. The quality of the Citizen-V Content may vary from device to device, and may be affected by various factors, including your location, available bandwidth and/or the speed of your Internet connection. The amount of time it takes to view Citizen-V content varies depending on several factors, including your location, the bandwidth available at the time you view the title, the content you choose and the configuration of your Citizen-V enabled device. 

6. PASSWORDS AND ACCESS TO THE ACCOUNT

The user who created the Citizen-V account and is charged a subscription fee according to the chosen Payment Method (the « Account Holder ») is responsible for all activity that occurs through his Citizen-V account. In order to maintain control of the account and to prevent anyone else from accessing the account (including accessing the account’s play history information), the Account Holder must maintain control of the Citizen-V-enabled devices used to access the service and must not share the password or Payment Method details associated with the account with anyone. You are responsible for updating and maintaining accurate information about your Account. We may terminate or suspend your account to protect you, Citizen-V or its partners from identity theft or other fraudulent activity.

7. INTERRUPTION OF SERVICE

TPROD or any company having mandated it cannot be held responsible in case of temporary or permanent interruption of all or part of the mobile wire network and/or the TV service of the User’s Internet Service Provider, which is not of its making and which constitutes a case of force majeure, as defined in article 1218 of the French Civil Code and in the jurisprudence on the matter.

8: TERMINATION OF THE USER’S ACCOUNT

TPROD reserves the right to terminate the User’s account if the User fails to comply with any of its obligations under these Terms and Conditions of Use (e.g., breach of TPROD’s intellectual property rights or breach of the obligation of private use).

9. LIABILITY

TPROD and/or any third party publishers shall not be liable for any failure or interruption in the provision of the Service due to or resulting from force majeure, as defined in Article 1218 of the French Civil Code and in case law.

Likewise, TPROD and/or any third party publishers shall not be liable for any damage suffered by the User and/or any third party in connection with the Service if such damage results, in whole or in part, from the action or omission of the User and/or any third party, if such damage is due to a technical incompatibility of its equipment with the Service.

FurthermoreTPROD and/or any third party publishers shall not be liable for the unavailability of any Program(s) due to factors beyond the control ofTPROD and/or any third party publishers (such as technical or editorial reasons, Internet congestion, failure of Internet Service Providers, etc.). ).

Hyperlinks on the Site may lead to other websites. TPROD and/or any third party publishers shall not be liable for the content of such third party sites if it violates any applicable legal and/or regulatory provisions.

10. APPLICABLE LAW AND SETTLEMENT OF DISPUTES

These GTC are subject to French law.

In case of difficulty arising from the use of the Service, the User has the possibility, before any legal action, to seek an amicable solution, in particular with the help of a consumer association or any other counsel of his choice.

11. RIGHT OF WITHDRAWAL

Due to the nature of the Service, i.e. intangible services delivered only and whose execution has begun before the end of the withdrawal period of fourteen (14) days with the agreement of the User and after express waiver of his right of withdrawal, and pursuant to Article L.121-21-8 of the Consumer Code, the User may not exercise his right of withdrawal.

CHAPTER II : GENERAL CONDITIONS – SUBSCRIPTIONS

Your subscription to Citizen-V continues until its termination. To use the Citizen-V service, you must have access to the Internet and a device compatible with the Citizen-V platform, and you must provide us with a Payment Method. A « Payment Method » means a current, valid, accepted payment method that may be updated from time to time and may include payment through your account with a third party. Unless you terminate your subscription prior to your billing date, you authorize us to bill you for the subscription fees for the next billing cycle via your Payment Method (see « Termination » below). 

We may offer different subscription packages. You can find the specific details of your Citizen-V subscription by visiting the website www.citizen-v.com/fr and clicking on the « Account » link available at the top of the pages. 

1. PROMOTIONAL OFFERS

We may occasionally offer special promotional offers, packages and subscriptions (« Offers »). Eligibility for Offers is determined at Citizen-V’s sole discretion, and we reserve the right to revoke an Offer and suspend your account if we determine that you are not eligible. We may use information such as a device ID, Payment Method or account email address used with an existing or recent Citizen-V subscription to determine eligibility for Offers. Eligibility criteria and other restrictions and conditions will be disclosed to you when you subscribe to the Offer or in other communications made available to you. 

2. BILLING & TERMINATION

2.1. Billing Cycle. Citizen-V service subscription fees will be billed via your Payment Method on the specific payment date indicated on the « Account » page. The length of your billing cycle depends on the type of subscription you chose when you signed up for the Service. In some cases, your payment date may change, for example, if your Payment Method did not work, when you change your plan, or if your paid subscription started on a day that is not in a given month. 

2.2. Payment Methods. To use the Citizen-V Service, you must provide us with a Payment Method. You authorize us to collect from your account via any Payment Method associated with your account in the event your primary Payment Method is declined or is no longer available to us for payment of your subscription fees. You are responsible for any amount not collected. If a payment fails to clear due to card expiration, insufficient balance, or for any other reason, and you do not terminate your account, we may suspend your access to our service until we have successfully debited your account via a valid Payment Method. For some Payment Methods, the Provider may charge you certain fees, such as fees on international transactions or other fees related to processing your Payment Method. Fees for local taxes may vary depending on the Payment Method used. Please contact your Payment Method provider for more information. 

If you have any questions about the payment methods for Subscriptions, they are the same as for VOD Purchases/Rentals, so please refer to Article 4 Chapter I.

2.3. Updating your Payment Methods. You can update your Payment Methods by going to the « Account » page. After any update, you authorize us to continue to debit your account via the relevant Payment Method(s). 

2.4. Termination. You may terminate your Citizen-V subscription at any time and you will continue to have access to the Service until the end of your billing period. Payments are non-refundable and we do not provide refunds or credits for partial usage periods, or for any unused Citizen-V content. To cancel your subscription, go to the « Account » page and follow the instructions. If you cancel your subscription, your account will automatically be closed at the end of your current billing period.
